Ross C. Formell is a partner in the firm’s Business Law practice area. His main areas of concentration are debt and equity financing, mergers and acquisitions, securities, banking, insurance regulation and general corporate law. Ross serves small and medium-sized businesses that require a range of legal expertise. Ross enjoys working through regulatory requirements and structuring complex transactions and documentation.
Experience
- Representing Native American tribes in financing transactions, and representing tribal development companies in connection with equity and debt investments.
- Representing an insurance company in the formation of only the second mutual insurance holding company ever formed under Minnesota law.
- Representing an insurance company in the acquisition of another insurance company for $140 million.
- Representing a local real estate developer in the sale of the company for $26 million.
- Representing an insurance company in the acquisition of an Arkansas insurance company.
- Representing an investment advisor in the sale of the company.
His experience includes representation of both sellers and buyers in large and small corporate acquisitions; advising clients in private and public offerings of securities; advising Native American tribes in business development, financing, contract and other matters, advising banks and insurance companies in regulatory matters and working on a variety of debt and equity financing projects.
