Kathryn’s practice spans mergers and acquisitions, private equity, corporate finance and complex project finance matters. Her experience includes:

Mergers & Acquisitions:
Advising strategic and institutional clients on acquisitions and divestitures across the technology, professional services, manufacturing, healthcare and distribution sectors. Experience includes leading deal documentation, managing legal diligence, coordinating multi-party closings and supporting transactions ranging from middle-market sales to billion-dollar mergers.

Private Equity Transactions:
Representing private equity sponsors, portfolio companies, and founder-owners in leveraged acquisitions, preferred equity investments and layered capital structures, including senior secured credit facilities and subordinated debt financings.

Debt & Corporate Finance:
Acting for lenders and borrowers in acquisition financings, refinancings, construction loans and revolving credit facilities, including large syndicated and public-company facilities. Experience includes negotiating credit agreements, security packages and ancillary documentation.

Project & Incentive-Based Finance:
Serving as lead counsel on complex, multi-source financings involving historic tax credits, new markets tax credits, PACE financing and government incentives for large-scale redevelopment, educational, nonprofit and community-focused projects.

In-House & Operational Counsel Experience:
As General Counsel to a high-growth e-commerce company, leading all legal operations, advising executive leadership on risk and strategy, supporting acquisitions and capital raises and negotiating core commercial, vendor, licensing, and partnership agreements.
