James C. Diracles is a member of the Business Law practice area. His practice focuses on financial transactions, securities, mergers and acquisitions, general corporate law, and Native American law including tax, financing and business development matters. He serves small to medium-sized businesses, start-ups, real estate developers and Native American clients by offering them an experienced point of view from which to confront the legal issues.

Experience

During his career, Jim:

  • As part of his work for Native American tribes, has arranged financings totally over $1 billion from a variety of lenders and assisted tribes with their Investment Policies and Procedures.
  • Has obtained several favorable rulings from the Internal Revenue Service on a variety of issues.
  • Has served as special counsel for outside directors and special committees.
  • Has represented clients in Securities and Exchange Commission enforcement actions.
  • Has represented property developers in relation to major multifamily housing and commercial developments.
  • Has negotiated $125 million settlement in an antitrust suit on behalf of a public company client.
  • Has successfully negotiated a multi-million dollar grant from the Mexican federal and state governments to support the establishment of a high-tech oriented industrial development in Mexicali, Mexico.
  • Is experienced in North Dakota real estate development and oil and gas distribution.
  • Represented the subclass of debt holders in re: Flight Transportation Securities litigation.
